November 2024: Capital increase of a real estate holding company
The lawyers of Bruppacher Anderes assisted a real estate company and its board of directors in implementing an ordinary capital increase. The share capital was paid up by means of a contribution in kind in the form of real estate and the settlement of various shareholder loans (a so-called “debt-equity swap”). The existing share capital of CHF 100’000 was increased to a new total of CHF 11 million.
October 2024: Succession planning and restructuring of an international family and trading company
The lawyers of Bruppacher Anderes advise the board of directors and the shareholders of an internationally operating family and trading company on succession planning and the related restructuring of various business divisions. The legal advice provided by Bruppacher Anderes' lawyers included the drafting of a shareholders' agreement and various commercial agreements.
January 2024: Seizure of a real estate property by court order to secure and enforce the claim of an SME
In January 2024, the lawyers of Bruppacher Anderes represented an SME in court against a debtor who wanted to avoid meeting his obligations towards the SME. To secure the enforcement of the SME's claim, the lawyers had the property belonging to the debtor frozen by court order - i.e. the real estate property was successfully blocked in the land register. As a result of the freezing order of the court, the debtor cannot dispose of the property. As a consequence, the assets to enforce the SME's claim will remain untouched by the debtor.

November 2023: Round 2 of Monster Energy v. BierVision Monstein AG - Monster Energy loses again
The attorneys of Bruppacher Anderes are pleased that the Swiss Federal Institute of Intellectual Property (IPI) has once again followed their legal opinion by rejecting the second trademark opposition of the Californian beverage manufacturer. As a result, the IPI rejected both trademark oppositions and supported the legal arguments presented by the lawyers from Bruppacher Anderes. March 2022: Dominique Anderes in the magazine Finanz und Wirtschaft of March 26, 2022 on shareholders' rights
Attorney-at-law Dominique Anderes answered questions on shareholders' rights to information and disclosure under the current stock corporation law still in force today with reference to the revised stock corporation law, which will come into force in 2023. Among other things, the revised stock corporation act provides for a strengthening of the legal position of shareholders.
